{"id":84,"date":"2020-05-02T12:47:09","date_gmt":"2020-05-02T12:47:09","guid":{"rendered":"http:\/\/www.greatplainsacc.org\/?page_id=84"},"modified":"2020-05-02T12:47:09","modified_gmt":"2020-05-02T12:47:09","slug":"bylaws-2","status":"publish","type":"page","link":"https:\/\/www.greatplainsacc.org\/?page_id=84","title":{"rendered":"Bylaws"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">BYLAWS<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">THE GREAT PLAINS CHAPTER<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">OF THE AMERICAN COLLEGE OF\nCARDIOLOGY<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">ARTICLE I<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">NAME AND PURPOSE<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n1.&nbsp; Name and Purpose.&nbsp;\nThis organization, a not-for-profit corporation, shall be known as the Great\nPlains Chapter of the American College of Cardiology (hereinafter referred to\nas the &#8220;Chapter&#8221;), and shall serve the purposes set forth in its\nArticles of Incorporation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ARTICLE II<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">MEMBERSHIP<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n1. Eligibility.&nbsp; All members of the American College of\nCardiology residing or working in Great Plains shall be eligible for membership\nin the Chapter. Geographic scope of the Great Plains Chapter: North Dakota and\nSouth Dakota.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n2. Classes of Members: &nbsp;&nbsp;The Chapter shall have eleven classes of\nmembership.&nbsp; The qualifications for\nmembership in the respective classes are:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1. <strong>Cardiovascular Team &#8211; <\/strong>Shall\nbe available to professionals in the cardiovascular work setting. A\nCardiovascular Team member shall have recognized education, training, and\nlicensure\/certification, and\/or formal appointment relevant and customary for\nthe professional type. A Cardiovascular Administrator may also be a member of\nthe College. This is a non-voting category of membership that can be appointed\nto committees, task forces, and working groups. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">2. <strong>Associate of the American\nCollege of Cardiology (AACC) <\/strong>&#8211; (a) Shall be a nurse, nurse practitioner,\nclinical nurse specialist, clinical pharmacist, physician assistant, or\ncardiovascular technologist who (a) is nationally board certified by a\ncredentialing body recognized by the American College of Cardiology; (b) has\nbeen a member of the ACC for at least two years; and (c) has at least five\nyears of experience in a clinical area of expertise within cardiology. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">3. <strong>Fellow-in-Training &#8211;\nUnited States, U.S. Territories and Canada &#8211; <\/strong>Shall be currently engaged in\na formal cardiovascular related training program in fulfillment of requirements\nfor admission to an examination by a subspecialty board which holds membership\nin the American Board of Medical Specialties or the Bureau of Osteopathic\nSpecialists of the American Osteopathic Association. Fellow-in-Training members\nwill transition to the Affiliate category upon successful completing of the\ntraining program. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Bylaws ACC 501(c)(6) <\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Fellow-in-Training\n&#8211; Residing Outside the United States, U.S. Territories and <\/strong>Canada &#8211; Shall be currently engaged\nin a formal cardiovascular-related training program. Fellow-in-Training members\nwill transition to the International Associate category upon successfully\ncompleting the training program. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">4. <strong>Affiliate\n<\/strong>&#8211; (a) Shall have satisfactorily completed a formal cardiovascular related\ntraining program in fulfillment of requirements for admission to an examination\nby a subspecialty board which holds membership in the American Board of Medical\nSpecialties or the Bureau of Osteopathic Specialists of the American\nOsteopathic Association. (b) Lacking board certification, candidates are\nexpected to provide evidence from the local community of having attained peer\nrecognition as practicing cardiovascular specialists. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">5. <strong>Associate\nFellow &#8211; United States, U.S. Territories and Canada &#8211; <\/strong>(a) Shall have board\ncertification by a primary specialty board which holds membership in the\nAmerican Board of Medical Specialties or the Bureau of Osteopathic Specialists\nof the American Osteopathic Association, plus evidence of formal cardiovascular\ntraining and other evidence from his\/her community of having attained peer\nrecognition as a consultant. (b) In lieu of the above, a candidate shall have\nmade important scientific contributions and shall have devoted the major share\nof his\/her efforts over a period of years to the cardiovascular field. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">6. <strong>Fellow &#8211;\nUnited States, U.S. Territories and Canada &#8211; <\/strong>(a) Shall have certification\nby both a primary specialty board and an applicable subspecialty board which\nholds membership in the American Board of Medical Specialties or the Bureau of\nOsteopathic Specialists of the American Osteopathic Association. (b) Lacking\nBoard certification, candidates are expected to have made important scientific\ncontributions over a period of years to a cardiovascular field. (c) The\ncandidate shall provide evidence from his\/her community that he\/she is\nrecognized by peers as a specialist or as a scientist. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Fellow &#8211;\nResiding outside United States, U.S. Territories and Canada <\/strong>&#8211; Those candidates applying for\nFellowship should be recognized as clearly outstanding in their own country by\n(a) holding a leadership role cardiology; or Professor or Associate Professor\nor; (b) usually having achieved an international reputation with a sizeable\nnumber of publications in cardiovascular related peer-reviewed indexed\njournals. Candidates may have certification by both a primary and subspecialty\nboard which holds membership in either the American Board of Medical\nSpecialties or the Advisory Board for Osteopathic Specialists of the American\nOsteopathic Association. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">7. <strong>International\nAssociate \u2013 <\/strong>A category of membership for other cardiovascular physician or\nscientist candidates. Candidates applying for International Associate will be\nrecognized in their own country by having relevant recognized\/accredited\nmedical education, cardiovascular training, and licensure\/certification OR\ncardiovascular-related academic or research appointment at a recognized\ninstitution. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">8. <strong>Emeritus\nStatus &#8211; A Fellow, Associate Fellow, or Affiliate of the College <\/strong>who is\nfully retired and is 65 years of age or older or who has been a member of the\nCollege for more than thirty consecutive years, is 60 years of age, and is\nfully retired, is eligible upon request to be named Emeritus. Such a status permits\na waiver of national and applicable chapter dues and fees, but not the cost of\nthe hard copy College journals. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Emeritus\nStatus &#8211; A Cardiovascular Team member or Associate of the American College of\nCardiology <\/strong>who is\nfully retired and is 65 years of age or older; or who has been a member of the\nCollege for more than five consecutive years, is 60 years of age, and is fully\nretired, is eligible <strong>upon request <\/strong>to be named Emeritus. Such a status\npermits a waiver of national and applicable chapter dues and fees but not the\ncost of the hard copy College journals. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">9. <strong>Master <\/strong>&#8211; A Fellow of\nthe College who has been active in the College for more than fifteen years may\nbe recommended to the Board of Trustees to be designated a Master of the\nAmerican College of Cardiology (MACC). Annually the Officers and Trustees of\nthe College shall be asked individually to submit names of suggested nominees\nto the Awards Committee which, in turn, shall make its recommendation to the\nBoard of Trustees. Additionally, past presidents are recognized as Masters.\nElection shall be by a majority vote of the Board of Trustees. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">10. <strong>Distinguished Fellow <\/strong>&#8211;\nA Fellow of the College who has performed outstanding service in the interest\nof the College may be recommended to the Board of Trustees to be elected\nDistinguished Fellow. Annually the membership shall be asked to submit names of\nsuggested nominees to the Awards Committee which, in turn, shall make its\nrecommendation to the Board of Trustees. Election shall be by a majority vote\nof the Board of Trustees. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">11. <strong>Honorary Fellow <\/strong>&#8211;\nAny qualified scientist or physician is eligible to become an Honorary Fellow.\nAnnually the membership shall be asked to submit names of suggested nominees to\nthe Awards Committee which, in turn, shall make its recommendation to the Board\nof Trustees. Election shall be by a majority vote of the Board of Trustees. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n3. Voting and Office Holding Rights.&nbsp;&nbsp; Only Active members of the Chapter in good\nstanding shall be eligible to vote and to hold office in the Chapter.&nbsp; Other classes of Chapter membership shall be\neligible to serve on committees and task forces of the Chapter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n4. Termination of Membership.&nbsp;&nbsp; Membership in the Chapter shall terminate\nwhen the member ceases to hold membership in the American College of Cardiology\nor fails to pay Chapter dues as specified in Article VIII.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE III<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">OFFICERS<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 1.\nOfficers: The Officers of the Great Plains Chapter will consist of the current\nACC Governor of North Dakota and the current ACC Governor of South Dakota during\ntheir 3- year terms, Each Governor will serve as Chapter President for 1.5\nyears and as Chapter Secretary\/Treasurer the other 1.5 years of their three -year\nterm. The two Governors will work out the details. The Governor-elects of each\nstate will serve as Council members during their one -year terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n2.&nbsp; Election and Term of Office.&nbsp;\nGovernors and Governors-Elect of the College are elected through a\nprocess as set forth in &nbsp;&nbsp;Article XI, Section 2 of the Bylaws of the\nAmerican College of Cardiology.&nbsp; The term\nof office for American College of Cardiology Governors is three (3) years. The\nterm of office for American College of Cardiology Governors-Elect is one (1)\nyear. Elections will be carried out as per Article XI, Section 2 of the ACC\nBylaws. The CVT Liaisons for North and South Dakota shall be elected by their\npeers and serve three-year terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n3.&nbsp; Vacancies.&nbsp;\nIf a vacancy for the office of President and\/or President-Elect occurs\nfor any cause it shall be filled, after consultation with the Chapter, in\naccordance with Article XI, Section 2 of the Bylaws of the American College of\nCardiology.&nbsp; If the offices of Immediate\nPast President or Secretary-Treasurer become vacant, these offices shall be\nfilled by action of the members of the Council at any appropriately constitutedmeeting of the Council.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ARTICLE IV<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">DUTIES OF OFFICERS<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 1.\u00a0 President\u00a0 The President of the Chapter, who concurrently is the American College of Cardiology Governor for the state of North Dakota or South Dakota shall be the chief elected officer of the Chapter and shall in general supervise and direct the business and affairs of the Chapter, in consultation with the Council.\u00a0 The President shall serve as Chairman at all meetings of the membership and of the Council.\u00a0 The President, in consultation with the Council and committee chairmen, shall appoint the members of all standing and special committees and task forces of the Chapter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n2.&nbsp; President-Elect and Immediate Past\nPresident.&nbsp; The President-Elect and Immediate Past\nPresident shall assist the President in the discharge of the duties of the\nPresident as the President may direct and shall perform such duties as from\ntime to time may be assigned by the President.&nbsp;\nIn the absence of the President, the Governor of North or South Dakota who\nis serving as Secretary\/Treasurer shall perform the duties of the President.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n3.&nbsp; Secretary-Treasurer.&nbsp;\nThe Secretary-Treasurer shall ensure that the general duties customarily\nincident to the offices of the Secretary and Treasurer are being discharged and\nwill also perform such other duties as from time to time may be assigned by the\nchapter President or Council.&nbsp; <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ARTICLE V<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">COUNCIL<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n1.&nbsp; General Powers.&nbsp;\nThe administration, property and activities of the Chapter shall be\nmanaged by its Council, which shall act as the Chapter\u2019s Board of Directors.&nbsp; <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 2.\u00a0 Composition.\u00a0 The Council shall consist of the officers of the Chapter, the Immediate Past Governors for North and South Dakota, the elected CVT representatives from North Dakota and South Dakota, and duly elected councilors. The Governors-Elect for North and South Dakota shall serve as Council Members during their one-year terms.\u00a0 The number of councilors shall be six to eight, nominated with sensitivity to geographical and population distribution, institution and subspecialty distribution<em>. <\/em>One standing councilor or additional councilor shall serve as liaison with the Great Plains Physicians and Surgeons.\u00a0 The Chapter President shall serve as Chairman of the Council.\u00a0 In addition, two (2) CV Team Liaisons (one each from North Dakota and South Dakota) shall be a member of the Council in a voting position.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n3.&nbsp; Election and Term of Office. The term of Council Members shall\nbe three (3) year with the exception of Governors-Elect who will have one (1)\nyear terms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n4.&nbsp; Vacancies.&nbsp;\nA vacancy on the Council for members other than the President and\nPresident-Elect may be filled by action of the members of the Council at any\nmeeting of the Council.&nbsp; The individual\nso appointed to fill a vacancy shall serve for the unexpired term of his\/her\npredecessor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n5.&nbsp; Meetings.&nbsp;\nMeetings of the Council may be called by the Chapter President, who also\nserves as Chairman of the Council, or at the request of five (5) Council\nmembers.&nbsp; The President shall fix the\nplace for holding all Council meetings unless otherwise directed by the\nCouncil.&nbsp; The Council shall meet at least\ntwice each year either in-person or by phone\/video conference.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n6.&nbsp; Notice.&nbsp;\nA notice stating the place, day and hour of the meeting and the purpose\nor purposes for which the meeting is called shall be emailed to each Council\nmember not less than ten (10) days prior to the date of the meeting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n7.&nbsp; Quorum.&nbsp;\nA majority of the members of the Council, when duly called and\nassembled, shall constitute a quorum for the transaction of business at any\nmeeting of the Council.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ARTICLE VI<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">COMMITTEES<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n1.&nbsp; Establishment and Composition.&nbsp;\nCommittees may be established by resolution of the Council, adopted at\nany duly called and constituted meeting.&nbsp;\nThe size, purposes and powers of any such committee shall be as provided\nin such resolution.&nbsp; The President of the\nChapter shall, in consultation with the Council, appoint the members of each\nsuch committee.&nbsp; All committees\nauthorized to exercise the authority of the Council in the management of the\nChapter shall consist of two (2) of more councilors and such other individuals\nas the Council may deem appropriate.&nbsp;\nOther committees not having and exercising the authority of the Council\nmay be designated by resolution of the Council and consist of such individuals\nas deemed appropriate.&nbsp; All Standing\nCommittee appointments must have the approval of the Council.&nbsp; The term of service of any committee member\nmay be terminated by the President, whenever, in the judgement of the President\nand the Council the best interests of the Chapter shall be served by such\ntermination.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n2.&nbsp; Term of Office.&nbsp;\nThe term of office for the members of all committees, with the exception\nof the Nominating Committee, shall be determined by the Council.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n3.&nbsp; Chairman.&nbsp;\nA Chairman for each committee, with the exception of the Nominating\nCommittee, shall be appointed by the President of the Chapter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n4.&nbsp; Vacancies.&nbsp;\nVacancies in the membership of any committee shall be filled by appointments\nmade by the Chapter President in consultation with the Committee Chairman.&nbsp; Standing committee vacancy replacements\nrequire the approval of the Council.&nbsp; The\nindividual so appointed to fill a vacancy shall serve for the unexpired term of\nhis\/her predecessor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n5.&nbsp; Reporting.&nbsp;\nAll Chapter committees shall report to the Council.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n6.&nbsp; Standing Committees.&nbsp;\nStanding Committees of the Chapter shall be:&nbsp; <\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>Advocacy\nCommittee, <\/li><li>Nominating Committee, and<\/li><li>Third\nParty Payer Liaison Committee<\/li><\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n7.&nbsp; Special Committees.&nbsp;\nUpon recommendation by the Chapter President, the Council may establish\nadditional standing, special or ad hoc committees or task forces to address\nspecial subjects of interest to the Chapter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 8,\nNominating Committee Composition. The Governor and Immediate Past Governor for\nthe State of North Dakota shall serve as the Nominating Committee for North\nDakota. The Governor of South Dakota and the Immediate Past Governor of South\nDakota will serve as the Nominating Committee for South Dakota. The Immediate\nPast President shall serve on this committee.&nbsp;\nWith the Immediate Past President, the Chapter President shall select\nfour additional Chapter members to this committee representative of the\ngeographical and population distribution of the membership.&nbsp; Each year, the chairman of the committee\nshall be elected by the members of the committee.&nbsp; It is recommended that whenever possible,\nconsideration be given for a balanced representation on this committee (i.e.,\ngeographical and population distribution in the State, Adult Cardiology,\nPediatric Cardiology, Cardiovascular Surgery, Private Practice, Academic\nPractice).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n9, Term of Nominating Committee Membership.&nbsp; Shall be three\n(3) years.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n10, Charge and Function of Nominating Committee.&nbsp;\nThe committee shall recommend to the Council at least (2) nominees for\neach area councilor position whose term is due to expire.&nbsp; There will be a mechanism for write-in or\nnominations from the membership.&nbsp;\nNominations shall be restricted to Active members of the Chapter\nresiding in the area where the vacancy is to occur.&nbsp; The committee shall not nominate any of its\nmembers to any position on the ballot.&nbsp;\nIt shall be the obligation of the nominating committee to explain the\nfunctions of the officers and councilors and the time required to all nominees\nbefore they are asked to accept.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ARTICLE VII<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">MEETINGS OF THE MEMBERSHIP<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n1.&nbsp; Annual Business Meeting.&nbsp;\nThe Chapter, when feasible, shall hold an annual business meeting, open\nto all members and invited guests, at a time and place designated by the\nCouncil.&nbsp; The Council is described in\nArticle V of these Bylaws.&nbsp; The purpose\nof the meeting shall be to transact any business that may come before the\nChapter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n2.&nbsp; Special Meetings.&nbsp;\nSpecial meetings of the membership may be called by the President after\nconsultation with the Council or upon written request of not less than twenty\npercent (20%) of the membership.&nbsp;\nEmergency Council meetings can be called at any time.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n3.&nbsp; Notice of Meeting.&nbsp;\nA notice stating the place, day and hour of the meeting shall be sent to\neach member of the Chapter not less than ten (10) nor more than fifty (50) days\nbefore the date of the meeting.&nbsp; <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section\n4.&nbsp; Voting and Quorum.&nbsp;\nMembers may vote in person, by mail \/email ballot, or by proxy.&nbsp; Members having at least one-fifth of the\nvotes to be shall constitute a quorum.&nbsp;\nThe affirmative vote of a majority of the votes entitled to be cast by\nthe members shall be necessary for the adoption of any matter voted upon.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ARTICLE VIII<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">DUES AND ASSESSMENTS<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Annual dues and assessments shall be set by the Council and approved by the American College of Cardiology prior to implementation.\u00a0 The American College of Cardiology shall be responsible for billing all ACC members of Great Plains for Chapter Dues.\u00a0 Upon receipt of the dues payment, the American College of Cardiology shall promptly remit such payments to the Chapter Secretary-Treasurer. \u00a0Active and Cardiac Care Team members, with the exception of [Distinguished Fellows or Honorary Fellows, or both], shall be deemed as dues paying members.\u00a0 Dues shall be waived for Emeritus members.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">ARTICLE IX<\/h2>\n\n\n\n<h1 class=\"wp-block-heading\">INDEMNIFICATION<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">To the\nfull extent permitted by law, the Chapter may indemnify any and all of its\nofficers, council members and committee members for certain expenses and other\namounts paid in connection with legal proceedings in which any such person\nbecomes involved by reason of serving in any such capacity with or for the\nChapter.&nbsp; The Chapter may purchase and maintain\ninsurance on behalf of any or all officers, council members or committee\nmembership against any liability asserted against any such person and incurred\nin any such capacity such liability under the provisions of this article.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">ARTICLE XII<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">ETHICS<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Members of\nthe Chapter are expected to exhibit high ethical and moral standards.&nbsp; The bylaws of the American College of\nCardiology provide a mechanism for addressing matters related to the ethical\nconduct of all members of the College.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">ARTICLE XIII<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">AMENDMENTS<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These\nBylaws may be amended or repealed and new Bylaws may be adopted by two-thirds\n(2\/3) approval of the Council, provided that written notice of the proposed\nchange or changes has been emailed to each voting councilor at least thirty\n(30) days before the vote and that such amendments shall not be inconsistent\nwith relevant provisions of the Bylaws of the American College of\nCardiology.&nbsp;
